Terms of Service

    1. Acceptance of Terms

    By accessing or using EpisodeOps ("Service"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service.

    2. Description of Service

    EpisodeOps is an AI-powered podcast post-production platform that generates transcripts, show notes, chapters, social media posts, and other derived content from audio episodes you upload.

    3. User Accounts

    To use the Service you must create an account. You are responsible for keeping your credentials confidential, for all activity under your account, and for promptly notifying us at security@episodeops.com of any unauthorized use.

    4. Subscription, Auto-Renewal, and Cancellation

    Auto-renewal disclosure (California Business & Professions Code §17602 and similar laws). Paid plans renew automatically at the end of each billing period (monthly or annually, as you selected at signup) at the then-current price for your plan. Your payment method on file will be charged automatically until you cancel, and we will continue charging you on a recurring basis until you cancel. By starting a paid plan you affirmatively consent to these recurring charges.

    How to cancel. You can cancel any time without contacting us by visiting Settings → Billing → "Manage subscription," which opens the Stripe customer portal where you can downgrade or cancel. Cancellations take effect at the end of your current billing period; you keep paid access until then. After cancellation you will not be charged again unless you re-subscribe.

    Trials. If you start a trial, the price you will be charged after the trial ends is the price of the plan you selected (shown on the pricing page at signup). We will email you 3 days before any paid trial converts to a recurring charge so you can cancel first if you choose.

    Refunds. We offer a refund within 14 days of purchase if you have consumed less than 50% of your monthly minutes (or fewer than 100 processed minutes, whichever comes first). Annual plans are eligible for a prorated refund within the same 14-day window. Refunds are not available for users who simply forget to cancel before renewal; that is what the trial-end email is for.

    Confirmation. You will receive an email receipt for every charge, retained for at least 1 year after the most recent charge.

    5. Content Ownership

    You retain all rights to the audio content you upload and the generated outputs. By using the Service you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you. We do not use your content to train AI models.     6. Acceptable Use

    You agree not to:

    • Upload content that infringes on others' intellectual property rights;
    • Upload content depicting minors in a sexual or exploitative context;
    • Use the Service for unlawful, harassing, or fraudulent purposes;
    • Attempt to gain unauthorized access to our systems or other users' accounts;
    • Reverse-engineer or scrape the Service except as permitted by our public API;
    • Interfere with or disrupt the Service.

    7. DMCA / Copyright Complaints

    If you believe content on EpisodeOps infringes your copyright, send a written notice including your contact info, identification of the work, the location of the infringing material, and a good-faith statement, to dmca@episodeops.com. Repeat infringers will be terminated.

    7a. YouTube and Third-Party Content Ingestion

    EpisodeOps lets you submit a YouTube URL (or other public-source link) for processing. When you do, you affirmatively warrant that you own the content or have a license, fair-use justification, or other lawful right to process it. We record this attestation with your account email, timestamp, and IP address on every submission.

    You agree to defend, indemnify, and hold EpisodeOps harmless from any third-party claim (including DMCA notices) arising from content you submitted without sufficient rights. We reserve the right to terminate accounts that repeatedly process third-party content without authorization, and to honor right-holder takedown requests on any output produced from such content.

    7b. Embeddable Chat Widget

    If you embed the EpisodeOps chat widget on a third-party site, you are responsible for ensuring you have rights to display the underlying episode content there. You may not remove or obscure the "Powered by EpisodeOps" attribution except where your plan explicitly permits white-labeling. We may revoke embed entitlement (and refund any unused portion of your plan) for repeated terms violations.

    8. Limitation of Liability and Disclaimers

    The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, EpisodeOps's aggregate liability for any claim arising out of these Terms or the Service is capped at the amount you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

    9. Governing Law and Dispute Resolution

    These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS in Travis County, Texas. You and EpisodeOps each waive the right to a jury trial and to participate in a class action. Either party may bring claims in small-claims court if eligible.

    10. Changes to These Terms

    We may update these Terms; if changes are material we will email you at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
